Terms of Service

These Terms of Service govern access to and use of Shortlistii and Litio by organizations, recruiters, hiring teams, interview participants, and candidates. They are designed for a professional hiring platform that combines AI-assisted hiring workflows, interview execution, and recruiter-facing decision support.

Introduction

These Terms of Service (“Terms”) govern the access to and use of the Shortlistii platform, the Litio interview workflow environment, related websites, candidate experiences, recruiter workflows, and associated services provided by shortlistii.com Private Limited (“Company,” “Shortlistii,” “Litio,” “we,” “us,” or “our”).

Shortlistii is an AI-powered hiring intelligence platform for recruiters and hiring teams. It supports candidate pipeline management, AI-assisted ranking and analysis, recruiter analytics, structured hiring workflows, and operational visibility across the hiring process. Litio is part of the same platform ecosystem and supports AI-powered interview sessions, real-time interview workflows, voice verification signals, identity verification, suspicious interview behavior indicators, recordings, transcripts, summaries, and recruiter-facing interview intelligence.

Acceptance of Terms

By accessing, using, registering for, or otherwise interacting with the platform, you agree to be bound by these Terms and any applicable policies incorporated by reference, including our Privacy Policy. If you use the service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the platform.

Eligibility and Authority to Use the Platform

You may use the platform only if you are legally capable of entering into a binding agreement and, where relevant, are authorized to do so on behalf of the organization you represent. Recruiters, administrators, hiring managers, interviewers, and customer representatives are responsible for ensuring that their use of the platform falls within their internal authority and applicable law.

Candidate access to the platform is limited to lawful use of candidate-facing flows, interviews, profiles, applications, and related hiring interactions.

Description of Services

The platform may include, among other capabilities:

  • Candidate pipeline and application management.
  • AI-assisted candidate ranking, search, filtering, and recruiter analytics.
  • Structured hiring workflows, interviewer coordination, evaluations, and decision support.
  • Litio-powered AI interview sessions, conferencing workflows, recordings, transcripts, summaries, and interview intelligence.
  • Voice verification, candidate identity checks, and suspicious session signal analysis where enabled.
  • Reporting, operational dashboards, and workflow support services.

We may update, enhance, modify, or retire features over time as part of normal product evolution, operational improvement, or legal and security requirements.

Account Registration and Security

Users must provide accurate, current, and complete information when creating or maintaining accounts. You are responsible for maintaining the confidentiality of your credentials, controlling access to your devices, and ensuring that account activity is authorized.

You must promptly notify us or your organization administrator if you become aware of unauthorized use, compromised credentials, suspicious access, or security incidents relating to your account. We may implement security measures, verification steps, or administrative controls as reasonably necessary to protect the platform.

Recruiter Responsibilities

Recruiters, hiring managers, administrators, and customer organizations agree that they will:

  • Use the platform only for lawful recruiting, evaluation, interview, and hiring-related purposes.
  • Provide appropriate notices, disclosures, and permissions to candidates and users as required by applicable law.
  • Maintain responsibility for their own employment, hiring, anti-discrimination, privacy, labour, and internal compliance obligations.
  • Review AI outputs, interview summaries, verification signals, and analytics in context rather than treating them as infallible or final.
  • Restrict internal access to data, recordings, transcripts, and interview intelligence to authorized personnel with a legitimate business need.
  • Not use the platform to conduct unlawful surveillance, hidden monitoring, or abusive or unfair recruitment practices.

Candidate Responsibilities

Candidates and interview participants agree that they will:

  • Provide truthful, current, and non-misleading information in profiles, resumes, applications, and interview interactions.
  • Not impersonate another person, misrepresent identity, falsify qualifications, or interfere with interview integrity workflows.
  • Participate in Litio sessions only in accordance with applicable instructions, notices, and lawful interview requirements.
  • Use candidate-facing features in a respectful and lawful manner and not attempt to disrupt or manipulate platform operations.

Acceptable Use / Prohibited Conduct

You must not:

  • Use the platform for unlawful discrimination, harassment, retaliation, defamation, abuse, or privacy infringement.
  • Upload malicious code, conduct unauthorized scanning, interfere with the service, or attempt to bypass security controls.
  • Scrape, harvest, or exfiltrate platform data without authorization.
  • Use the platform to commit impersonation, cheating, interview fraud, credential sharing, or other deceptive conduct.
  • Reverse engineer, copy, or create derivative works from the service except to the extent expressly permitted by law or written agreement.
  • Use AI features to make unlawful or fully automated employment decisions without appropriate human review and lawful process.
  • Use recordings, transcripts, summaries, or verification outputs for unrelated purposes that are inconsistent with the recruiting workflow for which they were collected.

Platform Rules for Interviews and Litio Sessions

Litio is designed to support AI-powered interviews, real-time interview execution, session coordination, and recruiter-facing interview intelligence. Users of Litio must follow all lawful participation rules, customer instructions, and platform controls applicable to the interview process.

Users must not attempt to circumvent identity checks, conceal participation by unauthorized persons, use impersonation techniques, manipulate voice verification, introduce fraudulent interview conditions, or interfere with suspicious-signal monitoring and integrity review mechanisms.

Customer organizations remain responsible for how they configure interview workflows, how they communicate with candidates, and how they assess interview outcomes, while we reserve the right to apply service controls needed to maintain platform trust, security, and integrity.

AI Features and Decision Support Disclaimer

Shortlistii and Litio provide software tools and AI-assisted workflows intended to support hiring teams with organization, prioritization, transcript analysis, summaries, and recruiter visibility. They do not guarantee hiring outcomes, interview quality, candidate performance, fraud-free interactions, or business results.

AI-generated rankings, recommendations, summaries, suspicious-signal indicators, and analytics are informational and operational tools. Customer organizations remain solely responsible for their hiring decisions, employment actions, compliance obligations, candidate communications, and review of context before acting on platform outputs.

Recordings, Transcripts, and Interview Integrity Features

Where enabled, Litio may support interview recording, transcript generation, session summaries, voice verification, candidate identity checks, and suspicious-signal analysis. By participating in or administering relevant sessions, users acknowledge that such features may be used as part of the recruiting workflow where lawfully disclosed and configured by the customer.

Customer organizations are responsible for ensuring that they have appropriate rights, disclosures, notices, and permissions for recordings and interview-related processing. We may process such data to operate the service, support customer workflows, maintain platform security, investigate misuse, and provide recruiter-facing interview intelligence within the scope of the service.

Intellectual Property

The platform, including its software, user interfaces, design elements, workflows, product text, trademarks, logos, graphics, service architecture, and related content, is owned by or licensed to shortlistii.com Private Limited and is protected by applicable intellectual property laws.

Except as expressly permitted in writing, these Terms do not grant you any ownership rights in the platform. “Shortlistii,” “Litio,” and related branding are proprietary brand assets of the Company.

Customer / User Content

Customer and user content may include job descriptions, candidate profiles, resumes, interview recordings, transcripts, interview summaries, recruiter notes, evaluation records, and related materials submitted to or processed through the service.

As between the Company and the applicable customer or user, ownership of customer or user content remains with the party that owns or lawfully controls that content. You represent that you have the necessary rights and permissions to submit, use, and process such content through the platform.

License to Operate the Service

You grant us a limited, non-exclusive, worldwide, revocable license to host, store, reproduce, process, analyze, transmit, and display customer and user content solely as necessary to provide, secure, support, improve, and administer the service; generate workflow outputs; perform AI-assisted processing; maintain records; and comply with applicable law and contractual obligations.

This license continues only for as long as reasonably necessary for the relevant service purpose, subject to our retention practices, legal obligations, and customer agreements.

Third-Party Services

The platform may rely on or interoperate with third-party service providers for hosting, communication, authentication, analytics, transcription, identity-related workflows, integrations, or infrastructure support. Your use of any third-party service connected to or referenced by the platform may also be subject to that provider’s terms and policies.

We are not responsible for the independent acts or omissions of third-party services beyond our reasonable control, although we may select and manage such providers as part of the operation of our platform.

Fees / Billing

Access to certain parts of the platform may be subject to paid plans, subscription terms, enterprise order forms, or commercial arrangements agreed separately with the customer organization. Unless otherwise stated in a specific agreement, fees are payable in accordance with the applicable plan, invoice, or written commercial terms.

We may suspend or limit access for material payment default, subject to applicable contractual commitments and reasonable operational steps.

Service Availability and Changes

We seek to operate the platform in a stable and commercially reasonable manner, but we do not guarantee uninterrupted availability, error-free operation, or universal compatibility across all environments. Maintenance, upgrades, third-party dependencies, security events, or technical issues may affect service availability from time to time.

We may modify features, interfaces, workflows, policies, or technical requirements where reasonably necessary for product development, operational improvement, security, legal compliance, or customer support.

Suspension and Termination

We may suspend, restrict, or terminate access to the platform, in whole or in part, if we reasonably believe that:

  • These Terms have been violated.
  • The platform is being used for fraud, abuse, impersonation, unlawful surveillance, discrimination, or other prohibited conduct.
  • Access presents a security threat to the service, other users, or the Company.
  • Suspension is necessary to comply with law, legal process, regulatory direction, or contractual requirements.
  • Required fees remain unpaid under applicable commercial terms.

Customer organizations may also terminate use of the service in accordance with their commercial arrangements. Certain provisions of these Terms survive termination by their nature, including intellectual property, liability, indemnity, dispute, and compliance-related provisions.

Disclaimers

To the maximum extent permitted by applicable law, the platform is provided on an “as available” and “as is” basis. We do not warrant that the service will meet every customer expectation, be uninterrupted, always detect every risk, or generate outputs that are complete, accurate, or suitable for every hiring context.

Customer organizations are responsible for independent review of hiring decisions, compliance obligations, recruiter workflows, interview practices, and the use of AI-assisted features. Candidates and users remain responsible for the accuracy and lawfulness of the information they provide.

Limitation of Liability

To the maximum extent permitted by applicable law, shortlistii.com Private Limited and its directors, officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, anticipated savings, or data arising out of or in connection with the use of, or inability to use, the platform.

To the extent liability cannot be excluded but may be limited, our aggregate liability arising out of or relating to the service will be limited to the fees paid to us for the relevant service during the twelve months preceding the event giving rise to the claim, or a commercially reasonable amount linked to the specific service use where no paid plan applies, except to the extent a different outcome is required by applicable law.

Indemnity

You agree to indemnify, defend, and hold harmless shortlistii.com Private Limited, its affiliates, officers, directors, employees, and service providers from and against claims, losses, liabilities, damages, costs, and expenses arising out of or relating to your content, your misuse of the platform, your violation of these Terms, your infringement of the rights of another person, or your breach of applicable law or customer obligations.

Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Dispute Resolution

The parties will seek to resolve disputes in good faith through discussion before initiating formal proceedings. If a dispute cannot be resolved amicably, the courts located in Noida, Uttar Pradesh, India will have exclusive jurisdiction, subject to any non-waivable rights or remedies available under applicable law.
